Engagement of Consultant for Corporate Governance

The Government of Orissa (GoO), Department of Public Enterprise (DPE), will engage a reputed Consultancy firm /company for advising installation of Good Corporate Governance system in their State Public Sector Undertakings under DFID assisted Orissa Public Enterprises Reform Programme Phase-II.

Professional agencies wishing to make known their interest in providing the services should do so through an Expression of Interest (EoI) with a clear Capability Statement in 10 A4-size papers. Advertisement for a Call for Expression of Interest

A MoU was signed on 11.10.2001 by Government of Orissa with Department of Economic Affairs, Government of India to work together to enable the Government of Orissa to achieve fiscal sustainability on the medium term in accordance with the Orissa Medium Term Fiscal Reform programme. Orissa Public Enterprises Reform Programme (OPERP) is one of the components of the said reform programme.

The on-going Public Enterprises Reform Programme is a part of Medium Term Fiscal Restructuring strategy of the State Government. The Project is undertaken to reduce fiscal burden and to increase allocation of public resources for priority sector development to create more employment opportunities. Besides, it aims to protect the interest of the workers, those who are adversely affected due to restructuring of State PSEs.

The State Government, as a matter of policy, have consciously opted for a model of Reform to secure the interest of the workers. In the process, the State Government have also identified a set of core enterprises, which will continue to operate in the domain of the public sector. It is also one of the objectives of the Government to provide these enterprises optimum managerial autonomy so that they can run on sound commercial principles. It has been the endeavor of the Government to institute a system of good corporate governance practices in these core enterprises, so as to enhance transparency and accountability in their operations and stimulate their performance. The identified Core Enterprises are as follows:

Terms of Reference for Consultants for Corporate Governance

1. To conceptualize a comprehensive system of Corporate Governance for the State Public Enterprises in Orissa.

2. To conduct a survey of the existing Corporate Governance practices in the State Public Enterprises in Orissa.

3. To develop sector and enterprise specific Corporate Governance system for the State Public Enterprises in Orissa.

4. To setup an institutional machinery for Corporate Governance in the State Public Enterprises in Orissa.

5. To assist Government of Orissa in manning the Corporate Governance set up and render constantly the requisite advice sought from time to time.

6. To prepare an annual report on the Corporate Governance practices of the State Public Enterprises in Orissa.

7. To develop a manual on Corporate Governance giving due regard to national and international practices.

8. To undertake a tracer study of the impact of the implementation of Corporate Governance framework on internal and external governance of the State Public Enterprises in Orissa.

9. Developing a code for Corporate Governance related to the corporate board-role, responsibility; directors role and responsibilities; board role and contribution-corporate studies; accounting and reporting standards; board committees;

10. Corporate Governance and performance management; Balanced score card approach.

ELIGIBILITY CRITERIA

1. A minimum annual turnover of Rs. 1.00 crore for the past two years;

2. Experience in providing undertaking at least 2(two) similar tasks for large institutions including Government institutions;

3. Availability and Qualified Professionals (include brief and relevant profile of at least 3 professionals to be engaged for the assignment).
